1. Acceptance of Terms

By accessing or using abgkol ("the Service"), operated by abgkol ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.

2. Service Description

abgkol is an AI-powered platform for creating photorealistic UGC (User-Generated Content) characters, generating images and videos with identity consistency, and publishing content to social media platforms. The Service operates on a credit-based subscription model.

We continuously improve the Service and may add, modify, or discontinue features at our discretion. We will provide reasonable notice before discontinuing core functionality that materially affects your subscription.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information remains accurate and up to date

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscriptions and Credits

4.1 Subscription Plans

The Service offers tiered subscription plans with varying credit allocations and feature access. Current pricing and plan details are available on our pricing page. All prices are in USD unless otherwise stated.

4.2 Credits

• Credits are allocated upon subscription activation or renewal
• Credits do not expire as long as your subscription remains active
• Credits are non-transferable between accounts
• Different operations consume different amounts of credits (e.g., image generation, video generation, character training)
• Credit costs for each operation are displayed before you confirm the action

4.3 Billing

Subscriptions are billed in advance on a monthly or annual basis through our payment provider, Polar. By subscribing, you authorize recurring charges to your payment method. You may cancel your subscription at any time; access continues until the end of the current billing period.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create deepfakes or impersonate real individuals without their explicit consent
• Generate child sexual abuse material or any content sexualizing minors
• Produce content that promotes violence, terrorism, or discrimination
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Circumvent usage limits, credit systems, or access controls
• Resell, redistribute, or white-label the Service or its outputs as a competing AI generation service
• Use automated systems (bots, scrapers) to access the Service without prior written permission
• Introduce malware, viruses, or any harmful code to the Service

We reserve the right to remove content and suspend accounts that violate this policy, with or without notice depending on severity.

6. Intellectual Property

6.1 Your Content

You retain ownership of content you create using the Service, subject to the underlying AI model licenses and any applicable third-party rights. You grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service.

6.2 Our Service

The Service itself — including its design, code, branding, documentation, and proprietary technology — remains the exclusive property of abgkol. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

6.3 AI-Generated Content

Content generated by AI models may be subject to limitations on intellectual property protection in certain jurisdictions. We make no representations regarding the copyrightability of AI-generated outputs. You are responsible for ensuring your use of generated content complies with applicable laws.

7. Content Moderation

We employ automated and manual content moderation to enforce our Acceptable Use policy. We may review, flag, or remove content that violates these Terms. Repeated violations may result in account suspension or termination.

If you believe content has been incorrectly flagged or removed, you may contact us at support@abgkol.com to request a review.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency security patches
• Third-party service outages beyond our control
• Force majeure events

We are not liable for any loss or damage resulting from Service unavailability. Credits are not refunded for downtime unless the outage exceeds 72 consecutive hours, in which case affected subscribers may request a pro-rata credit extension.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
• We are not responsible for the accuracy, quality, or legality of AI-generated content

10. Indemnification

You agree to indemnify, defend, and hold harmless abgkol and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, upload, or distribute through the Service

11. Termination

By you: You may delete your account at any time through your account settings or by contacting support. Upon deletion, your subscription will be cancelled and your data will be removed in accordance with our Privacy Policy.

By us: We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use policy
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees when due
• Create risk or legal exposure for us or other users

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction.

You agree that any claims will be brought individually and not as part of a class action or representative proceeding.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts in the jurisdiction where abgkol is established for any disputes not subject to arbitration.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
